WorkerSpring Terms of Service

Welcome to WorkerSpring. Users can access and use various content, features, tools, and associated online services using our website at workerspring.com or our mobile web app at app.workerspring.com (collectively, the website, the mobile web app, the content, and the online services are referred to as the “Sites”).
These Terms of Service (“Terms”) govern your access to and use of the Sites. Please read these Terms carefully before accessing or using the Sites. By using the Sites, you agree, on behalf of yourself and any company that you represent, that you have read, understood, and agree to these Terms. You understand that upon accepting these Terms, you are entering into a binding contract with WorkerSpring. IF YOU DO NOT AGREE TO COMPLY WITH THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITES.
ARBITRATION NOTICE; CLASS WAIVER; WAIVER OF TRIAL BY JURY.
THESE TERMS CONTAIN A PROVISION REQUIRING YOU TO RESOLVE DISPUTES BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND WORKERSPRING WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. THIS ARBITRATION PROVISION LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.
1. Modifications
We reserve the right to modify these Terms at any time, so be sure to check back periodically. Material changes will be conspicuously posted on the Sites or otherwise communicated to you. All changes to these Terms will be effective immediately upon posting or communication to you. Continued access to or use of the Sites following changes to these Terms confirms that you have read, understood, and agreed to be bound by such changes.
2. Eligibility
By using the Sites, you affirm that you are of legal age to enter into these Terms, or, if you are not, that you are at least 13 years of age and have obtained parental or guardian consent to enter into these Terms and your parent or guardian consents to these Terms on your behalf. If you violate or do not agree to these Terms, then your access to and use of the Sites is unauthorized.
3. Privacy Policy
We may collect certain personal information from you when you use the Sites. We describe how we collect, use, store, share, protect, and delete personal information - including Google user data if you sign in via Google - in our Privacy Policy. By using the Sites, you consent to the practices described in the Privacy Policy. If you sign in using your Google account, you also consent to our access, use, storage, and sharing of your Google user data solely as described in the Privacy Policy and in accordance with Google's API Services User Data Policy.
4. Proprietary Rights
The Sites incorporate certain text, information, product descriptions, illustrations, materials, designs, images, drawings, audio, video, visuals, graphics, charts, photographs, compilations, data, databases, data sets, interfaces, icons, software, computer code, hypertext markup language (HTML), scripts, trademarks, trade dress, logos, slogans, names of products and services, and other similar items, including the features, functions, and look and feel of the Sites (“Content”). The Sites and Content, including its design, selection, and arrangement, are the sole and exclusive property of WorkerSpring or, as applicable, its licensors. The Content and Sites are protected by certain copyright, trademark, trade dress, or other intellectual property rights (“Intellectual Property Rights”) and may not be used except as expressly provided in these Terms. The Sites may contain references to third-party marks and copies of third-party copyrighted materials, which are the property of their respective owners.
5. User License to Use the Sites
Provided you comply with these Terms, WorkerSpring grants you a limited permission (which may be revoked at any time for any reason or no reason) to access and use the Sites and to download, email, or print individual pages of the Content solely for your personal use. You may not remove any trademark, copyright, or other proprietary notices contained on such pages. Any rights not expressly granted herein are reserved by WorkerSpring.
6. Acceptable Use Policy
When you use the Sites, you agree to comply with the following Acceptable Use Policy and will not encourage or facilitate others to violate these restrictions:
a. Compliance with Laws
You agree to use the Sites and submit User-Generated Material in compliance with applicable international, federal, state, or local laws, rules, or regulations (“Applicable Laws”), self-regulatory rules, or industry rules.
b. Truthful and Honest
You agree:
- To submit only true, correct, and accurate information.
- Not to misrepresent your affiliations with WorkerSpring or any third party.
- Not to commit fraud or falsify information in connection with your use of the Sites.
- Not to act maliciously against the business interests or reputation of WorkerSpring.
- Not to impersonate or attempt to impersonate another user or person.
c. Protection of Intellectual Property Rights
You agree not to:
- Use the Sites, the Content, or the User-Generated Material in a manner which infringes or misappropriates the Intellectual Property Rights of WorkerSpring or any third party.
- Modify, reverse engineer, adapt, translate, copy, distribute, re-publish, transmit, broadcast, display, perform, reproduce, publish, reuse, sell, resell, license, create derivative works of, or transfer the Sites, the Content, or the User-Generated Material in whole or in part.
- Create a competitive product or service offering to the Sites.
- Incorporate the Content into any database, data set, compilation, archive, or cache.
- Link to or use the Sites in a manner which does or has the potential to, in our sole opinion, damage or dilute the reputation of WorkerSpring and the goodwill associated with WorkerSpring’s names and trademarks.
- Create the false appearance that any program, person, network, or entity is associated with or sponsored by WorkerSpring.
d. Misuse of the Site
You agree not to use the Sites, the Content, or the User-Generated Material to:
- Harass, annoy, intimidate, or threaten any person.
- Attempt to gain unauthorized access to other computer systems from or through the Sites.
- Interfere with another’s use or enjoyment of the Sites.
- Submit, send, post, upload, or otherwise make available unsolicited or unauthorized advertising or commercial communications, chain letters, or junk mail, spam, advertising, use of distribution lists, or any other kind of solicitation.
- Deep-link to the Sites or access the Sites with any robot, spider, web crawler, extraction software, or any other automated process or device to access, scrape, copy, or monitor any portion of the Sites or any Content available from the Sites.
- Post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or any other personally identifiable or private information from any user.
- Forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use the Sites to send altered, deceptive, or false source-identifying information.
- Attempt to circumvent any technological measure implemented by us or any of our providers or any other third party (including another user) to protect or restrict access to the Sites.
- Edit, alter, or modify the Sites in any way.
e. Interference with Operations of the Sites
You agree not to:
- Engage in activities that could render the Sites inoperable or make use of the Sites more difficult.
- Attempt to compromise the integrity or security of the Sites, including but not limited to uploading, posting, or transmitting viruses or other malware.
- Disrupt, interfere with, or otherwise harm or violate the security of the Sites, system resources, accounts, passwords, servers, or networks connected to or accessible through the Sites.
If you violate this Acceptable Use Policy, WorkerSpring may not have an adequate remedy at law and monetary compensation may not be a sufficient remedy. In that event, WorkerSpring may seek immediate injunctive relief, without the need to post bond. WorkerSpring reserves all of its statutory and common law rights against any person or entity who violates this Acceptable Use Policy and may suspend or terminate your right to use the Sites for a violation of this Acceptable Use Policy.
7. Termination of and Modifications to the Sites
WorkerSpring reserves the right, in its sole discretion, to modify, suspend, or discontinue at any time, with or without notice, the Sites, the Content, or the User-Generated Material. The Sites, your account, or the User-Generated Material may be unavailable or limited for various reasons, and we shall not be liable to you for any such unavailability.
8. Your Account, Password, and Security
a. Creation of Account
If you create an account with the Sites, you will need to provide a valid email address, create a password, and provide certain personal information to WorkerSpring, including your name and contact information. You agree to keep such information updated. WorkerSpring has the right to suspend or terminate your account if you fail to comply with these requirements and WorkerSpring reserves the right to refuse any and all current or future use of the Sites. If you submit the personal information of any person other than yourself in using the Sites, you warrant that you have that person’s permission to provide us with that information. b. Security of Account
You are responsible for maintaining the confidentiality and security of your account, username, and password. You are fully responsible for all activities that occur in connection with your account or password, including but not limited to use of the Sites by any person who uses your account, with or without your authorization. You agree to (i) immediately notify WorkerSpring of any known or suspected unauthorized use(s) of your password or account, or breach of security, including loss, theft, or unauthorized disclosure of your password and (ii) ensure that you log out from your account at the end of each session. WorkerSpring will not be liable for any injury, loss, or damage of any kind arising from or relating to your failure to comply with this Section.
9. Cancellation, Termination, Transfer, and Expiration of Account or the Sites
a. Termination of Account by You
You may terminate your account at any time by providing written notice to WorkerSpring using any contact methods in the “Contact Us” section of these Terms. Upon termination, we will delete your personal information and account data as described in our Privacy Policy, including any Google user data, subject to legal retention requirements. To learn more about our practices concerning our collection, use, storage, and disclosure of Personal Information submitted through the Sites, see our Privacy Policy.
Any User-Generated Material you have submitted using the Sites may remain in our archives and continue to be accessible by other users. We have no obligation to return any User-Generated Material you have submitted. If you want to retain copies of that User-Generated Material, you must do so before you terminate your account.
b. Suspension or Termination of Your Account by WorkerSpring
WorkerSpring may suspend or terminate your account and/or your access to or use of the Sites for any reason, with or without prior notice to you. In such a case, you must immediately cease accessing and using your account and/or the Sites. WorkerSpring shall not be liable to you or any third party for any termination or suspension of your account or any ability to access or use the Sites. WorkerSpring has no obligation to archive or otherwise store any User-Generated Material upon suspension or termination of your Account. Upon termination, we will handle your personal data in accordance with our Privacy Policy.
10. User-Generated Material
a. Nature of User-Generated Material
You may use the Sites to create, post, upload, transmit, display, publish, distribute, broadcast, or otherwise submit (collectively, “Submit”) comments, data, images, text, photos, and other content and materials, and to respond to content provided by others (collectively, “User-Generated Material”).
b. Acceptable Use
Any User-Generated Material you Submit may be publicly available via the Sites. You must maintain a polite, pleasant, and respectful environment when you Submit User-Generated Material. User-Generated Material must be relevant to the applicable topic. If you delete User-Generated Material that you have Submitted (where that option is available), you understand that it may remain in our archives and that users who have accessed that User-Generated Material may continue to have access to and use it. You agree to comply with the terms of the Acceptable Use Policy set forth in Section 6 when you Submit any User-Generated Material. You will not provide User-Generated Material that:
- Contains vulgar, profane, abusive, hateful, or sexually explicit language, epithets or slurs, text or images in poor taste, inflammatory attacks of a personal, sexual, racial, or religious nature, or expressions of bigotry, racism, discrimination, or hate;
- Is defamatory, threatening, disparaging, inflammatory, false, misleading, deceptive, fraudulent, inaccurate, or unfair, contains gross exaggeration or unsubstantiated claims, violates the privacy rights or right of publicity of any third party, is harmful or offensive to any individual or community, contains any actionable statement, or tends to mislead or reflect unfairly on any other person, business, or entity;
- Violates, contradicts, or breaks any rules, agreements, guidelines, or commitments established by the group, community, or movement you joined on the Sites;
- Contains copyrighted content without the express permission of the copyright owner;
- Discloses any personal information relating to or images of a minor without prior written consent of that minor’s parent or legal guardian;
- Contains any other person’s private or confidential information without that person’s permission;
- Harms or is inappropriate for minors to view;
- Includes links to websites, businesses, or service offerings that are irrelevant, misleading, harmful, or inconsistent with these Terms or the rules of the applicable group or movement; or
- Is otherwise not in compliance with these Terms, including the Acceptable Use Policy in Section 6.
c. User Representations and Warranties
Each time you Submit User-Generated Material, you represent and warrant that: (i) you are the owner of or have the express written permission from the copyright owner to Submit the User-Generated Material and (ii) your User-Generated Material will not violate these Terms or Applicable Laws.
d. License to User-Generated Material
By submitting User-Generated Material, you grant WorkerSpring a worldwide, non-exclusive, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, adapt, perform, publish, distribute, store, modify, or otherwise use your User-Generated Material in any manner or media, including for commercial purposes, without compensation or attribution to you. This license survives termination of your account or these Terms.
e. Disclaimer of Responsibility for User-Generated Material
WorkerSpring does not control User-Generated Material submitted using the Sites and disclaims any responsibility for any User-Generated Material. You are responsible for all User-Generated Material that you provide and for the legality, originality, and appropriateness of that User-Generated Material. WORKERSPRING ASSUMES NO RESPONSIBILITY OR LIABILITY IN ANY MANNER ARISING OUT OF OR IN CONNECTION WITH THE CREATION, USE, STORAGE, LOSS, OR DESTRUCTION OF ANY USER-GENERATED MATERIAL.
f. Groups and Community Rules
Users may create and administer groups or communities on the Sites around shared interests, movements, causes, employment opportunities, faith-based initiatives, or any other lawful purpose. We expressly permit the sharing of services, links, resources, and promotional materials that are relevant to a group’s stated purpose.
Each group may establish and publicly display its own membership criteria and internal rules, provided those criteria and rules:
- are consistent with these Terms (including the Acceptable Use Policy in Section 6) and Applicable Laws;
- do not harass, defame, threaten, or infringe upon other groups, communities, causes, or individual users;
- are not used to promote illegal activity, violence, or discrimination prohibited by law.
Examples of permissible membership criteria include, without limitation, requiring adherence to specific religious doctrines or creeds (such as aspects of the Nicene Creed for Christian communities), shared professional qualifications, geographic residency, or alignment with a particular social or political cause.
Group administrators may reject membership applications or remove existing members who do not meet or who violate the group’s publicly stated criteria. WorkerSpring reserves the right, but not the obligation, to enforce or override such decisions if they violate these Terms or Applicable Laws. WorkerSpring does not itself endorse, adopt, or enforce any group-specific doctrinal, ideological, or creedal requirements; any such requirements are established and enforced solely by the group administrators.
WorkerSpring may suspend or terminate any group (and remove all associated User-Generated Material) that, in our sole discretion, uses membership criteria or internal rules to engage in unlawful discrimination, harassment, or activities prohibited under Section 6 or elsewhere in these Terms.
f. Review & Removal of Material
WorkerSpring has no obligation to, but reserves the right to, monitor, review, screen, edit, or remove any User-Generated Material or any group or community at any time and for any reason, including to ensure compliance with these Terms, Applicable Laws, or to protect the rights of others. We may also limit visibility of or access to certain User-Generated Material or groups.
11. Third-Party Services and Links
The Sites may contain links to third-party websites, services, or resources (e.g., Google Sign-In, Facebook, Apple login services). These links are provided for convenience only. WorkerSpring does not endorse, control, or assume responsibility for any third-party content, privacy policies, or practices. You access such third-party services at your own risk and should review their terms and privacy policies. Your use of third-party services is governed by their separate terms, not these Terms.
12. Children's Privacy
Our Sites are not intended for children under 13 (or 16 in some jurisdictions). We do not knowingly collect personal information from children. If we learn we have, we will delete it promptly, as described in our Privacy Policy.
13. Disclaimers
THE SITES, CONTENT, AND USER-GENERATED MATERIAL ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WORKERSPRING DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. USE OF THE SITES IS AT YOUR OWN RISK.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WORKERSPRING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITES; (B) THE CONDUCT OR CONTENT OF ANY THIRD PARTY; OR (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA. IN NO EVENT SHALL WORKERSPRING'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless WorkerSpring, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your access to or use of the Sites; (b) your violation of these Terms; (c) your User-Generated Material; or (d) your violation of any third-party rights.
16. Arbitration
Any dispute arising out of or relating to these Terms or the Sites shall be resolved exclusively by binding arbitration in Cary, North Carolina, under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action. The arbitrator shall award attorneys' fees to the prevailing party.
17. Governing Law
These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.
18. Miscellaneous
These Terms constitute the entire agreement between you and WorkerSpring. If any provision is held invalid, the remainder shall continue in full force. No waiver of any term shall be deemed a further or continuing waiver. WorkerSpring may assign these Terms; you may not.
